Terms of Service

1. Introduction
These Terms of Service (the “Terms”) govern access to and use of the BRU Revenue application (the “Application”), operated by Bru Network S.L. (“Bru Network”, “we”, “our” or “us”), a company incorporated in Spain under VAT ID ESB70831581 with registered office at C/ Joan Güell 131-133, 4º 3ª, 08028 Barcelona, Spain.
By accessing or using the Application you agree to be bound by these Terms. If you do not agree with these Terms you must not use the Application.
2. Description of Service
The Application is a private, internal financial operations tool used by Bru Network S.L. to manage revenue attribution, reporting and billing for the YouTube channels that Bru Network represents as a certified Multi-Channel Network (MCN). The Application integrates with Google and YouTube APIs via OAuth 2.0 to access Content ID, Analytics and revenue data for the YouTube Content Owner accounts operated by Bru Network.
The Application is not a consumer product and is not made available to the general public.
3. Eligibility and Access
Access to the Application is limited to:
- Authorised employees, contractors and agents of Bru Network S.L.
- Users who have been granted explicit access credentials by a Bru Network administrator
- Users aged 18 or older
Each authorised user is responsible for maintaining the confidentiality of their credentials and for all activity performed under their account.
4. Authentication
Authentication is performed exclusively via Google OAuth 2.0. You agree to comply with Google’s terms at all times, including the Google Terms of Service, the YouTube Terms of Service and the YouTube API Services — Developer Policies.
You can revoke the Application’s access to your Google account at any time at myaccount.google.com/permissions.
5. Acceptable Use
You agree not to:
- Use the Application for any purpose other than the authorised business activities of Bru Network S.L.
- Copy, modify, reverse-engineer, decompile, distribute or sublicense the Application or its source code outside Bru Network
- Export YouTube data retrieved via the Application to external systems or third parties without prior written authorisation from a Bru Network director
- Attempt to gain unauthorised access to the Application, its database, or the Google / YouTube accounts it connects to
- Violate any applicable law, including data-protection law, competition law, tax law or intellectual-property law
- Violate the YouTube Terms of Service, the YouTube API Services Terms of Service or the Google Privacy Policy
6. YouTube API Services
By using the Application you acknowledge and agree that you are bound by the YouTube Terms of Service and the YouTube API Services Terms of Service. Google’s Privacy Policy is available at policies.google.com/privacy.
7. Intellectual Property
The Application, including its source code, documentation, revenue-attribution algorithms, user interface and visual design, is the exclusive property of Bru Network S.L. and is protected by applicable copyright, trademark and trade-secret laws. No licence is granted to you by these Terms except the limited, revocable, non-transferable right to use the Application strictly in accordance with Section 3.
YouTube data retrieved via the Application remains the property of Google LLC and YouTube LLC and is subject to Google’s terms and policies.
8. Data Processing and Privacy
All data-processing activities performed through the Application are governed by our Privacy Policy, which forms an integral part of these Terms.
9. Disclaimers
The Application is provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement or continuous availability.
Without limiting the foregoing, Bru Network does not warrant that:
- The Application will operate uninterrupted, error-free or free of security vulnerabilities
- Data retrieved from third-party APIs (YouTube, Google) will be complete, accurate or timely
- The Application will remain compatible with future versions of the Google / YouTube APIs
Revenue calculations produced by the Application are estimates subject to confirmation by YouTube’s official payment reports. In the event of a discrepancy between figures produced by the Application and those reported by YouTube, YouTube’s official figures prevail.
10. Limitation of Liability
To the maximum extent permitted by law, Bru Network’s aggregate liability arising from or related to the Application shall not exceed the greater of (a) one hundred euros (EUR 100) or (b) the fees paid by the relevant user to Bru Network in the twelve (12) months preceding the event giving rise to the claim.
In no event shall Bru Network be liable for any indirect, incidental, consequential, punitive or special damages, including lost profits, lost revenue, lost data or business interruption, even if Bru Network has been advised of the possibility of such damages.
Nothing in these Terms limits liability that cannot be limited under applicable Spanish law (including liability for gross negligence or wilful misconduct).
11. Indemnification
You agree to defend, indemnify and hold harmless Bru Network S.L., its directors, officers, employees, contractors and agents from and against any and all claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or your misuse of the Application.
12. Termination
We may suspend or terminate your access to the Application at any time, with or without prior notice, for any reason, including breach of these Terms or any requirement imposed on us by Google, YouTube or competent public authorities. On termination your right to use the Application ceases immediately and you must cease all use of the Application and any data obtained through it.
Sections 7, 8, 9, 10, 11, 13 and 14 survive termination.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Spain, without regard to its conflict-of-laws rules. Any dispute arising from or related to these Terms shall be submitted to the exclusive jurisdiction of the courts of Barcelona, Spain, to the extent permitted by applicable law.
14. Changes to These Terms
We may modify these Terms from time to time. The most current version will always be posted at bru.network/en/terms with an updated “Last updated” date. Material changes will be communicated to authorised users by email. Continued use of the Application after changes constitutes acceptance of the revised Terms.
